Senior Counsel / Commercial - Miami

Large Fortune 500 Company has a need for a 4-7 year corporate attorney to join their legal team. The position will report directly to the General Counsel.

Candidate will have 4-7 years of experience, with a minimum of 1 year experience in-house, and significant experience drafting and negotiating contracts. Candidate will be responsible for negotiating and drafting contracts relating to the Company's main businesses and working with commercial personnel in the structuring of commercial transactions. In addition, Candidate will work with the General Counsel on designing and implementing appropriate contract review processes, and preparing and updating form agreements used in connection with the Company's businesses. Position will also involve managing litigation and commercial disputes, and working with outside counsel (U.S. and International). Candidate will have significant interaction with the Company's sales personnel and must possess strong communication and interpersonal skills.

Intellectual Property - Miami

Intellectual Property attorney needed to serve as a business lawyer supporting the acquisition and protection of the intellectual property (patents, trademarks, licenses, R&D contracts, trade secrets). Position will also be responsible for supporting and managing intellectual property litigation and licensing efforts. Will develop and recommend strategies for maintaining and building the company's intellectual property portfolio.

Key Duties and Responsibilities:

  • Draft and negotiate legal documents (e.g., patent applications, copyright and trademark applications, licensing and research agreements, litigation briefs and opinions)
  • Licensing and contracts
  • Trademark prosecution, maintenance and enforcement
  • Represent the company in important intellectual property transactions and litigation
Requirements:
  • J.D. required
  • Minimum of 7-8 years of IP experience
  • Understanding of business environment
  • Licensing and litigation experience preferred
  • IP experience can either be gained at a Law Firm or from an In House role
Candidate must be an independent and proactive self starter with outstanding interpersonal, verbal and written communications skills, strong research and analytical skills, and excellent academic credentials from an accredited law school. You have demonstrated leadership ability and have a proven ability to advise and influence management on a broad range of intellectual property legal issues.

Collections - Miami

Senior attorney to oversee all of the Company's commercial credit/collections related legal activities.

Responsibilities:
Credit matters: Working with the Company's Credit Department on developing and implementing credit enhancement strategies (e.g., through security agreements, guarantees, liens, etc.) applicable to the United States and foreign jurisdictions.

Collections matters: Working with the Company's Credit Department in determining when formal legal action should be taken and supervising U.S. and foreign outside counsel in the handling of collections related legal proceedings.

Requirements:

  • Candidate should have 7+ years of commercial litigation or bankruptcy experience, with emphasis in the areas of collections, judgment enforcement and/or bankruptcy
  • Prior in-house experience a plus
  • J.D. and admission to at least one U.S. State or foreign Bar. Compensation is very competitive
